Terms of Service

These Terms of Service ("Terms") govern all quotations, samples, orders, and commercial transactions between PT Tropical Crisps Indonesia("we", "us", "Seller") and any business customer ("Buyer", "you") in connection with the website indonesianfruitschips.com and the products and services offered through it.

1. Business-to-business only

Our products are sold strictly on a wholesale, B2B basis to importers, distributors, manufacturers, and private-label brand owners. We do not sell directly to consumers.

2. Quotations and orders

All quotations are valid for 14 days unless stated otherwise and are subject to confirmation of stock and raw-material availability at the time of order. An order is binding only once we issue a written Proforma Invoice (PI) and the Buyer confirms it in writing.

3. Samples

Free product samples are offered to qualified B2B buyers. Sample products are provided free of charge; shipping costs are paid by the Buyer, either via the Buyer's DHL / FedEx / EMS account or via a prepaid courier quote. Samples are representative but minor variations in color, size, and crispness between batches are normal.

4. Prices and payment

Prices are quoted in USD and are exclusive of taxes, duties, and any charges imposed in the destination country, all of which are the Buyer's responsibility. Standard payment terms are 30% deposit on order confirmation and 70% balance against scanned Bill of Lading, unless otherwise agreed in writing. Letters of Credit (L/C at sight) are accepted for orders above one full container (FCL).

5. Incoterms and shipping

Unless otherwise agreed, deliveries are made under FOB Jakarta or FOB Surabaya (Incoterms 2020). CIF, CFR, and DDP terms are available on request. Lead time is typically 25–35 days from PO confirmation. Risk of loss passes to the Buyer in accordance with the applicable Incoterm.

6. OEM and private label

For private-label and OEM orders, the Buyer is responsible for the accuracy and legal compliance of all artwork, claims, ingredient declarations, nutritional information, barcodes, and label text supplied to us. The Buyer warrants that it owns or has all necessary rights to any trademarks, logos, and copyrighted material it provides.

7. Product compliance and documentation

Every shipment includes a Certificate of Analysis (COA), Halal certification, and applicable phytosanitary and HACCP/ISO 22000 documents. The Buyer is responsible for verifying that the products comply with the import, food-safety, and labelling regulations of the destination country.

8. Storage and shelf life

Stated shelf life (typically 12 months) applies to sealed, nitrogen-flushed packaging stored below 25°C, away from direct sunlight and humidity. We accept no liability for product quality once the packaging has been opened or once storage conditions are outside these parameters.

9. Claims and returns

Any claim regarding quantity, packaging damage, or visible defects must be notified in writing within 7 days of arrival at the destination port, supported by photos, batch numbers, and the surveyor's report where applicable. Latent quality claims must be raised within 30 days of arrival. Goods may not be returned without our prior written agreement.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or in connection with any order is limited to the invoice value of the products to which the claim relates. We are not liable for indirect, incidental, or consequential losses, including loss of profit, loss of business, or reputational damage.

11. Force majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, epidemics, port closures, export bans, war, or government action.

12. Confidentiality

Pricing, recipes, artwork, and any non-public commercial information exchanged between the parties is treated as confidential and may not be disclosed to third parties without prior written consent.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Indonesia. Any dispute that cannot be resolved amicably shall be referred to the Indonesian National Board of Arbitration (BANI) in Jakarta in accordance with its rules. The language of the arbitration shall be English.

14. Changes to these Terms

We may update these Terms from time to time. The version in force at the time an order is confirmed will apply to that order.
